Katherine Seaborn

Katherine Seaborn has more than 30 years of experience in all facets of corporate, securities, finance and private equity transactions. Her practice encompasses a broad spectrum of industries, including retail, aviation, manufacturing, staffing, technology, food and medical waste.

Among others, specific representations include:

  • Both companies and investment banking firms in public and private securities offerings.
  • Companies in mergers, acquisitions and divestitures of stock and assets.
  • Companies, both private and public, in defensive and strategic planning.
  • Individuals, committees and entire boards of directors in internal corporate investigations.
  • Companies and individuals in private placements of debt and equity.
  • Corporations in recapitalizations, restructurings and financings of troubled companies.
  • Individuals in private equity matters and the purchase and sale of businesses.
  • Venture capital funds in investment transactions.
  • Boards of directors and board committees on duties and liabilities in SEC investigations.
  • Companies, of varying sizes, regarding general matters such as governance, shareholder issues, fiduciary duties and contracts.

Katherine has spoken at both legal and business conferences on topics that include "Going Public - The Process" and "Representing the Seller - An Acquisition Story".

Currently Katherine is a member of the State Bar of Texas and the American Bar Association, and a fellow of the Dallas Bar Foundation. She is also a member of the Texas Business Law Foundation, an institution that champions better business laws in Texas. She formerly served as a clerk for Judge Robert M. Hill in the Federal District Court of the Northern District of Texas.

Katherine serves on the Advisory Board of Directors for the Texas Women Venture Fund. She has also completed six-year tenures as a member of the Board of Trustees for the Dallas Theater Center and as a member member of the Board of Directors for Mi Escuelita Schools.

Katherine received her B.A. (Cum Laude) from Southern Methodist University and her J.D. degree (Cum Laude) from the Southern Methodist University Dedman School of Law.
